Terms and Conditions

This is a translation for convenience. The German version is legally binding.

§ 1 Scope

These terms apply to all contracts between NOR Services GbR, Perleberger Straße 38, 10559 Berlin, Germany ("NOR Services") and its clients for services in web development, app development, AI automation, video and image editing and IT support. Deviating terms of the client only apply if NOR Services expressly agrees to them in writing.

§ 2 Conclusion of contract

The services shown on this website are not a binding offer. A contract is only concluded when the client accepts an individual quote from NOR Services in text form (e.g. by email). The content and scope of the services are defined by that quote.

§ 3 Delivery and cooperation

NOR Services delivers the agreed services carefully and to the current state of the art. The client provides all content, access and information required in good time and ensures it holds the necessary rights to supplied material (e.g. texts, images, videos, logos). Delays caused by missing cooperation extend agreed deadlines accordingly.

§ 4 Changes and acceptance

Change requests after the order that go beyond the agreed scope and revision rounds are charged separately. Deliverables are provided for acceptance on completion and are deemed accepted if the client does not report material defects in text form within 14 days or puts the deliverable into productive use.

§ 5 Fees and payment

The prices stated in the quote apply. For larger projects a deposit may be agreed. Invoices are payable within 14 days without deduction. Recurring services (e.g. maintenance, content packages) are invoiced monthly in advance and, unless agreed otherwise, can be cancelled with one month's notice to the end of a month.

§ 6 Rights of use

Upon full payment the client receives the rights of use required for the agreed purpose. Rights to third-party software, libraries and tools (e.g. open-source components) are governed by their respective licences. NOR Services may name completed work as a reference unless the client objects.

§ 7 Warranty and liability

Statutory warranty rights apply. NOR Services is liable without limitation for intent and gross negligence and for injury to life, body or health. For slightly negligent breach of essential contractual obligations, liability is limited to the typical, foreseeable damage. NOR Services is only liable for loss of data to the extent it could not have been avoided by proper backups on the client's side.

§ 8 Confidentiality and data protection

Both parties treat the other party's confidential information as confidential. Where NOR Services processes personal data on the client's behalf, the parties conclude a data processing agreement under Art. 28 GDPR as required.

§ 9 Final provisions

German law applies. If the client is a merchant or a legal entity under public law, the place of jurisdiction is Berlin. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
